An Aerospace Manufacturer Now Files Unexpected Chapter 11 Bankruptcy

An aerospace manufacturer has now filed an unexpected chapter 11 bankruptcy as contracts began to wind down, leading to its financial restructure.

Magellan Aerospace, a Middletown, OH-based manufacturer of aerospace products and parts, filed for Chapter 11 protection on Jul. 22 in the U.S. Bankruptcy Court for the Southern District of Ohio.

According to the bankruptcy filing alert, “The Debtor attributes its distress to a multi-decade erosion of its core nacelle and exhaust-systems business, compounded by escalating legacy environmental liabilities and the withdrawal of parent funding.”

Magellan Aerospace has an estimated asset of $10 million to $50 million and estimated liabilities of $50 million to $100 million.

The manufacturer also carries significant losses from litigation and other penalties.

A Jury back in March of 2026 found the company liable for over $5.2 million in past Torrance, California-related costs and liable for 25% of remediation costs estimated at $25 million to $64 million.

A February 2026 DTSC order also mandated interim TCE-mitigation measures at the San Diego (Langley) property, with investigation and remedial-feasibility work alone expected to exceed $12 million and noncompliance carrying a $25,000 per-day penalty.

“The Debtor has identified insurance with aggregate policy limits exceeding $100 million, but reports that carrier reservations of rights, delays, and denials have impaired its ability to fund compliance.”

In Q2 of this year, its parent company, Magellan USA, said it would no longer fund the company’s continued losses on an unsecured basis.

Its efforts to secure third-party DIP financing from commercial banks, credit funds, and specialty lenders were unsuccessful.

Magellan Aerospace Middletown is going to continue its operations and maintain its employment.

The company plans to continue customer relationships according to its independent director, Michael Goldberg.

However, the company is considering other options, including the potential sale or other value maximizing transactions.

“The Debtor intends to use the case to preserve the business as a going concern while addressing its legacy liabilities, and has not yet determined whether it will pursue a standalone plan of reorganization, a section 363 sale, or another strategic transaction,” the filing read.

“Working with Rock Creek Advisors, the Debtor expects to commence a marketing process within the week and to return to court within two to four weeks to select and begin executing its chosen path.”

Magellan, which employs 109 workers, reported a net loss of $8.5 million on about $26.3 million in annual revenue in 2025, and a net loss of $2.8 million on $16.8 million in revenue in 2026 through June 30.

The company’s annual revenue has decreased year-on-year due to contracts that failed to materialize since 2020.

It initially secured jet exhaust systems contracts with Airbus on its A340, A318, and A380, as well as the Boeing 747 and 767 aircrafts.

However, the trouble began when production of the A340, A380, and 747 ended, leading to the cancellation of those contracts.
